No buddy..... Viacom18 channels are part of the JV.....basically all the linear TV and digital OTT assets of Reliance/Jio Cinema and Disney-Star/Disney+Hotstar r being merged to form a Joint Venture / Entity wherein Reliance shall have 51% stake while Disney will hold remaining 49% however both companies will have equal number of directors in the board and i assume both will take certain decisions independently for each of their firms while for other things decision will be arrived at based on mutually acceptable terms.

So overall both companies will operate independently but will leverage each other's resources to grow the business in most efficient manner.....again as this is a non binding agreement hence both companies cannot take legal recourse incase the other side disagrees upon certain points to be implemented or decides to exit merger incase such scenario arises based on various reasons
That’s why they will form JV with STAR network under Viacom18’s step down subsidiary /sister-company. So they can share both networks content includes sports/cricket.

Most probably Step down subsidiary is being created as Reliance has multiple subsidiaries under its Network18 company wherein TV18 is for News Channels, Viacom18 for all other channels barring Infotainment as here again A+E-TV18 has been formed to manage operations of HistoryTV18 ....each of these is being run thru a Joint Venture or partnership with different companies , infact in news channels (TV18) barring their Hindi News Channels for English News Channel they have pact with CNN mainly for branding & sharing of key international news feeds for important events/news ....for business news channels they have long standing JV with Universal (Comcast) thus u have the CNBC branding, presentation style and content from its international feed available on these channels.

So Disney and Reliance deciding to create a completely New Entity for the merged companies would not be right strategy rather having it as a step down subsidary under already established Viacom18 branding will help all the business operations be carried in much more efficient and smooth manner as all of the resources available can be easily put to best use when all are clubbed under single entity... A&E-TV18 most likely will be disbanded and absorbed in this new JV subsidiary
