Can someone come up with a plan explaining how each party benefits from this merger, given that Zee and Viacom18 overlap in so many places, while SPN and Viacom18 were much more complementary and well-fitting?

Probably and surely if this merge happens. First thing is news18 and Zee media will be kept out.
It will only be merge of entertainment sector.
Viacom18 has biggest production and distribution house. Zee has music house enough to make them market leader .
There are very less place where they could overlap. Like in Kannada and Marathi and Hindi only in other places zee is absent or colors is week . Major benefit for viacom18 and ambani for his streaming asset

The overlaps are in Hindi GEC, Hindi movies, Kannada and Marathi, as well as in Bengali, Tamil and Odia where Colors is weak. But there are still a lot of similar channels in both. Some channels may have to be shut down like what Sony wrongly did.

Having shares on both will not help him in anyway he needs to get large share and operating advantage. In terms of Sony deal it was opposite, Sony would have got operating advantage. Now viacom18 will get in zee.

Also worth to notify till 2004 Viacom was with Zee

Colors is premium brand in Hindi .Only their regional channels are ad oriented
