Zeel's promoters had to sell their majority stakes in zeel to pay off the debts incurred in their Essel properties company. They rn hold only around 4 percent shares in zeel and the major stakeholder want the promoter to be removed from the board.

This merger will solidify the position of the promoter as he'll head the merged entity and he can also increase his shares to twenty percent. That's from zee perspective.

Sony Group has been pushing for a merger or partner in India for a successful transition from traditional to digital content consumption. Please refer to the letter of TONY VINCIQUERRA, CEO of Sony Pictures Global, for reference.


Moreover, both Sony and Zee are already profitable companies in India. These two causes led to the merger and it is symbiotic. Win win situation, if you ask me.
