I think there is no Chairman and Mr. Nagpal is a head of TATA(SKY because TATA Sons is not a 100% owner in TATA(SKY.

When a company own by only one person[family group] there will be a chairmen but when a company is run by more than one company [equity share] then instead of chairmen there are BOARD OF DIRECTORS [share holder] , they have all the power of particular company. Board of directors not involve any direct decision about development in company but they choose MD and CEO for company who is responsible for all. All company managemet head is reported to ceo. Ceo report to board of directors. Hence ceo is totally responsible for all development of company of all aspect.

Without sign of minister, secretary cant take any decision. He can give only advise to minister. Also minister has all power including to change his secretary[with help of cm or pm]
